Grizzly Bulls Terms of Service

These Terms of Service ("Terms") govern your access to and use of Grizzly Bulls websites, accounts, research, datasets, market indicators, trading-model signals, APIs, subscription features, and related services that link to these Terms (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Changes to these Terms

We may update these Terms from time to time to reflect changes to the Service, law, security practices, or business operations. We will identify substantive revisions by changing the "Last Updated" date above and may provide additional notice when appropriate.

Unless a later effective date is stated, revised Terms take effect when posted. Your continued use of the Service after the revised Terms take effect constitutes acceptance of the revised Terms.

Privacy

Our Privacy Policy explains how Grizzly Bulls collects, uses, and discloses personal information in connection with the Service.

Third-Party Services

The Service may depend on or link to third-party services, including authentication, payment, analytics, brokerage, market-data, hosting, communications, and other technology providers. Third-party services are governed by their own terms and privacy policies, and Grizzly Bulls does not control their availability, security, or independent conduct.

Accounts and Account Security

Some Service features require an account. You are responsible for maintaining the confidentiality of your account credentials, API keys, and access methods and for activity conducted through your account.

You must provide information that is accurate enough for the Service feature you are using and must not impersonate another person or entity. Notify us through the contact page if you believe your account or credentials have been compromised.

The Service is not intended for children under 13. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or legal guardian where required by law.

Public User Content and Conduct

Certain features may allow users to publish comments, profile information, feedback, or other material for display to other users ("Public User Content"). You retain ownership of your Public User Content, but you grant Grizzly Bulls a non-exclusive, worldwide, royalty-free license to host, reproduce, format, display, and distribute that Public User Content as reasonably necessary to operate and present the Service.

This license does not apply to private contact messages, billing information, authentication credentials, or other information that is not submitted for public display.

You must not use the Service to submit or distribute material that:

  • is unlawful, fraudulent, defamatory, threatening, harassing, or deceptive;
  • infringes intellectual-property, privacy, publicity, or other rights;
  • contains another person's sensitive personal information without lawful authority;
  • contains malware, destructive code, or attempts to compromise systems;
  • constitutes spam or abusive automated activity; or
  • violates another person's or entity's rights or applicable law.

You also agree not to:

  • interfere with, disable, overload, probe, or disrupt the Service or its security controls;
  • impersonate another person or entity or misrepresent your affiliation;
  • attempt to gain unauthorized access to accounts, systems, data, or credentials;
  • collect personal information about other users through prohibited means;
  • circumvent access controls, rate limits, subscription restrictions, or other protective measures; or
  • use the Service for an unlawful purpose.

We may remove or restrict Public User Content or suspend access when we reasonably believe it violates these Terms, creates security or legal risk, or materially interferes with the Service.

Grizzly Bulls Materials, Research, and Data

Except for Public User Content and third-party material, the Service and its original software, designs, text, graphics, research, compilations, calculations, annotations, and other content are owned by Grizzly Bulls or its licensors and are protected by applicable intellectual-property law.

Subject to these Terms, you may access and use the Service for its intended purposes.

Unless Grizzly Bulls expressly permits otherwise, you may not:

  • reproduce, republish, sell, sublicense, or commercially redistribute a substantial portion of the Service;
  • systematically extract protected Grizzly Bulls content or data to create a substitute product or service;
  • reverse engineer or attempt to obtain non-public source code, credentials, or protected system logic;
  • bypass subscription, authentication, rate-limit, or access controls; or
  • use Grizzly Bulls trademarks or branding in a way that implies sponsorship or endorsement.

These restrictions do not prohibit uses expressly permitted by the Grizzly Bulls Data License, a dataset-specific license, robots or machine-readable permissions, a written commercial license, or applicable law. For a dataset or public research asset covered by the Data License, the Data License controls to the extent its permitted uses conflict with these general restrictions.

Hyperlinks and Third-Party Content

You may link to public Grizzly Bulls pages so long as the link does not falsely imply sponsorship, endorsement, or affiliation.

The Service may contain links, quotations, data, images, filings, market information, or other material originating from third parties. Grizzly Bulls does not control third-party sites and cannot guarantee that third-party information will remain accurate, complete, available, or unchanged.

Research, Estimates, Models, and Market Data

Financial research and data can contain reporting delays, source errors, estimation uncertainty, revisions, and gaps. Grizzly Bulls distinguishes sourced observations, calculations, modeled estimates, and editorial interpretation where those differences are material, but no research process can eliminate all errors or uncertainty.

Trading models and indicators are rule-based systems that depend on historical and current inputs. Historical or backtested results do not guarantee future results. Live signals may differ from historical records because of market conditions, timing, data availability, corrections, implementation differences, outages, or other operational factors.

Market, brokerage, data-provider, and communications systems can be unavailable or delayed. The Service is provided on an "as is" and "as available" basis subject to the warranty and liability provisions below.

Premium Plans, Signals, and APIs

Paid plans may provide access to model signals, historical records, premium analysis, email notifications, APIs, downloads, or other subscription features described at the time of purchase.

Unless a separate written license permits it, paid access is for the subscribing user or licensed organization only. You may not share subscription credentials, private API keys, or non-public paid signals with another person or entity.

Institutional, commercial, redistribution, and data-licensing rights may require a separate written agreement. Contact us if you need rights beyond the standard subscription.

Automated Execution and Separate Brokerage Arrangements

Standard self-service Premium Plans do not include Grizzly Bulls exercising discretionary trading authority over a customer's brokerage account or providing a managed-account service.

Any separate arrangement involving automated order placement, discretionary trading authority, or managed-account functionality must be governed by separate written terms, brokerage authorizations, disclosures, eligibility requirements, and fees as applicable. Such an arrangement may be offered only after Grizzly Bulls determines that the arrangement can be operated consistently with applicable legal, regulatory, broker, and contractual requirements.

Futures and other leveraged trading can produce substantial losses, including losses that occur rapidly during volatile markets. Execution can also be affected by liquidity, slippage, market gaps, broker systems, connectivity, data availability, software defects, outages, rejected orders, or delayed signals. No separate execution arrangement can guarantee that an order will be submitted, accepted, filled, or filled at a particular price or time.

If Grizzly Bulls enters into a separately reviewed execution or brokerage arrangement, its specific written terms control that arrangement to the extent they conflict with these general Terms.

No Personalized Professional Advice

Except for any separately agreed execution functionality described above, the general research, reference, model, indicator, and educational content available through the Service is not personalized tax, legal, accounting, insurance, or investment advice.

Nothing on the general public Service is a guarantee of profit or a promise that a security, strategy, model, or market view is suitable for a particular person. You are responsible for your own decisions and for consulting qualified professionals when appropriate.

Past performance, backtests, historical simulations, and historical market relationships are not guarantees of future performance. Investing and trading involve risk of loss.

Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT, DATA, SIGNALS, SOFTWARE, RESEARCH, AND OTHER MATERIAL MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRIZZLY BULLS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

GRIZZLY BULLS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM DATA, SOFTWARE, PROVIDER, OR MARKET ERRORS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRIZZLY BULLS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, TRADING LOSSES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF GRIZZLY BULLS AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. the total amount you paid to Grizzly Bulls for the Service during the six months immediately preceding the event giving rise to the claim; or
  2. $100 USD.

The limitations in this section apply regardless of the form of action or theory of liability. Nothing in these Terms excludes or limits liability to the extent applicable law prohibits that exclusion or limitation.

Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Grizzly Bulls and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable costs, including reasonable attorneys' fees, arising from your unlawful use of the Service, your Public User Content, your violation of these Terms, or your infringement of another person's rights.

Copyright Concerns

If you believe material available through the Service infringes your copyright or other intellectual-property rights, please contact us with enough information to identify the work, the material at issue, your basis for the claim, and a method for contacting you.

We may remove or restrict access to material when appropriate and may terminate repeat infringers in appropriate circumstances.

Governing Law

These Terms and any dispute arising out of or relating to them are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, except to the extent federal law or another law that cannot be waived applies.

Disputes and Individual Proceedings

Subject to any different dispute-resolution provision in a separate written agreement, you agree that disputes arising out of or relating to these Terms or the Service will be brought in a court of competent jurisdiction located in the State of Florida, unless applicable law requires otherwise.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND GRIZZLY BULLS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

These general Terms do not require arbitration and do not contain a contractual waiver of the right to a jury trial. A separate written agreement may contain different dispute-resolution terms for the subject it governs.

Termination

We may suspend or terminate access to the Service when reasonably necessary to enforce these Terms, protect users or systems, respond to legal or security risk, discontinue a feature, or address nonpayment or misuse.

Provisions that by their nature should survive termination, including intellectual-property protections, disclaimers, liability limitations, indemnification, and dispute provisions, survive termination to the extent permitted by law.

Entire Agreement and Order of Precedence

These Terms are the general agreement governing the Service. A separate written agreement, subscription order, dataset-specific license, or other expressly applicable terms may supplement these Terms.

If there is a conflict, the more specific applicable agreement or license controls the subject it expressly governs. The Grizzly Bulls Data License controls permitted reuse of datasets and research assets that identify it as their license.

Severability

If a provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary, and the remaining provisions will remain in effect.

Feedback

If you provide suggestions or feedback about the Service, you grant Grizzly Bulls a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided that this does not transfer ownership of your unrelated intellectual property or private information.
