| Directly held Honest Company common stockSources[1][2] | Mar 31, 2026 | $3.4M |
The Honest Company 2026 proxy reports Jessica Alba beneficially owned 6,161,346 shares, or 5.5%, as of March 31, 2026.
Sources[1]HNST closed at $2.94 on March 31, 2026, aligning the market-price date with the proxy ownership date and valuing that reported share count at about $18.11M on the same date.
Sources[2]The 2026 Honest proxy’s 6,161,346-share beneficial-ownership total is not the same as 6,161,346 directly held common shares: it consists of 4,253,036 shares in the Warren Trust with shared voting and investment power, 1,170,058 shares held directly by Alba, 700,000 shares underlying exercisable options and 38,252 shares potentially issuable upon near-term RSU vesting.
Sources[1]Honest’s 2025 proxy reports total Alba compensation of about $4.08M for 2024 and $2.66M for 2023; the 2024 amount includes grant-date stock-award value and separation/director compensation, so it is a historical compensation anchor rather than current liquid wealth.
Sources[5]Honest’s 2025 proxy reports 300,000 exercisable Alba options at a $5.13 exercise price and 400,000 exercisable options at $5.75, all expiring in 2028. Honest’s 2026 proxy still counts 700,000 exercisable option shares in Alba’s beneficial ownership as of March 31, 2026. Against the aligned $2.94 close, all 700,000 options were out of the money with zero intrinsic exercise value. This does not assert that option time value was zero; it bounds the interest below the roughly $2.06M gross value of the underlying shares before exercise cost, taxes or transfer restrictions, so it is no longer an unbounded material publication blocker.
Sources[5][1][2]Reporting based on the divorce settlement signed February 12, 2026 says Alba and Cash Warren divide the relevant Honest restricted-share pools equally, alongside equal division of interests in several other private companies. That is strong enough to bound the economic attribution question that the estimate/the estimate left open. The estimate does not project an exact current Honest share count because the settlement reporting cites 4,523,035 certificate-restricted shares while Honest’s later March 31 proxy reports 4,253,036 Warren Trust shares subject to shared voting and investment power.
Sources[6][1]The finalized settlement also reports a $3M equalization payment from Alba to Warren, no spousal or child support, retention of several bank accounts and vehicles by Alba, and equal division of interests in Popchips, WeWork, Hopscout, Sona Labs, Telly and other companies. These facts materially improve the map of Alba’s post-divorce balance sheet but do not disclose the values of those accounts and private interests, so the broader balance-sheet question remains unresolved.
Sources[7][6]Honest’s 2022 proxy reports $7.98M of Alba compensation for 2021 and a $2.63M 2021 cash dividend to entities affiliated with Alba, in addition to the later 2023-2024 compensation already retained by the estimate. These are useful historical inflow anchors, not evidence that the money remains in Alba’s current balance sheet.
Sources[8]Jessica Alba combined an acting career with founding The Honest Company. SEC ownership reporting is unusually detailed, but beneficial ownership is broader than directly owned current common stock. The filings identify 1,170,058 directly held shares and 700,000 out-of-the-money options. Reporting based on the finalized divorce settlement says the relevant Honest restricted-share pools and several other community-company interests are divided equally. The settlement-reported certificate share pool and Honest’s later SEC trust-share count do not match exactly, so we do not invent an exact post-settlement share count.
The finalized settlement improves the picture of Alba’s balance sheet: reporting says she owes a $3M equalization payment, neither party pays spousal or child support, Alba keeps several bank accounts and vehicles, and the pair divide interests in several private companies. The values of those accounts, company interests, real estate and other investments are still not public enough to construct a complete current balance sheet, so those categories remain unresolved rather than being filled with lifestyle assumptions.
Honest’s 2022 proxy reports that entities affiliated with Alba received about $2.63M of the company’s 2021 cash dividend. The same proxy reports about $7.98M of Alba compensation for 2021. Both are historical income rather than current wealth.
Sources[8]Reuters reported that Alba stepped down from the operating role while remaining on the company’s board, separating her ongoing ownership from day-to-day executive work.
Sources[3]Honest’s 2025 proxy reported about $4.08M of total 2024 compensation and $2.66M for 2023. It also reports 300,000 exercisable Alba options at $5.13 and 400,000 at $5.75, all expiring in 2028.
Sources[5]Alba’s February 2026 Schedule 13G reported 6,123,094 shares beneficially owned as of December 31, 2025, but it also separated sole from shared voting and dispositive power.
Sources[4]Reporting on the finalized divorce says Alba owes Warren a $3M equalization payment and neither party will pay spousal or child support. Those terms improve the liability/transfer map without making the rest of the private balance sheet observable.
Sources[7]Reporting based on the signed settlement says the relevant Honest restricted-share pools and interests in several other companies are divided equally. The reported certificate-share count differs from Honest’s later SEC trust-share count, so the 50/50 economic split is useful without implying an exact post-settlement share total.
Sources[6][1]The 2026 proxy reported 6,161,346 shares of beneficial ownership, but only 1,170,058 were common shares held directly by Alba. The rest comprised 4,253,036 shared-trust shares, 700,000 option shares and 38,252 near-term RSU shares. At the same-day $2.94 close, the directly held common stock is about $3.44M. The $5.13/$5.75 options were all out of the money with zero intrinsic exercise value, although nonzero option time value may remain.
