SpaceX at $158.96: Reverse DCF, Dilution, and 2035 Revenue Hurdles

A technical valuation study of SPCX using reported operating data, a reconstructed economic share denominator, a net-cash bridge, and a revenue-plus-margin reverse DCF.

SPCX valuation

The base reverse DCF requires 37.2% annual revenue growth through 2035

At the October 2 close of $158.96, post-Cursor issued common shares imply about $2.16T of equity value. The study's broader 14.47B economic share denominator raises that figure to about $2.30T. After crediting modeled net cash, the operating business must support approximately $2.24T of enterprise value. Under a 9.5% discount rate, 4% terminal growth, and a FCF margin that reaches 30% in 2035, the reverse DCF solves to roughly $769B of 2035 revenue.

Q2 2026 data show both operating scale and capital intensity

Connectivity reported $4.29B of Q2 2026 revenue, up 66% year over year, with $1.66B of operating income. Starlink ended the quarter with 12.0 million subscribers, double the prior year, while Enterprise & Government revenue reached $1.81B.

Operating income / (loss)$1.66B-$1.26B
Adjusted EBITDA$2.60B$1.15B
Depreciation & amortizationSee filing$1.89B
Capex$1.37B$15.83B

AI revenue reached $2.56B, including $2.19B from AI solutions and infrastructure, and SpaceX disclosed $14.1B of contracted cloud-services sales. The same segment reported $1.89B of depreciation and amortization, a -$1.26B operating loss, and $15.83B of capex in the quarter. For that reason, adjusted EBITDA alone is an incomplete proxy for the cash economics used in valuation.

Issued shares and the economic valuation denominator are different quantities

SpaceX reported 13.182B common shares outstanding as of July 28. The Cursor closing then issued another 0.391B shares for merger consideration and vested RSUs, taking the mechanically reconstructed post-Cursor issued common count to about 13.573B. At $158.96, those issued shares correspond to approximately $2.16T of equity value.

Economic valuation denominator14.472BResearch valuation assumption

The 14.472B denominator is not presented as a reported diluted share count. Options have exercise prices, award vesting is not identical to issued stock, and the Q2 filing separately identified 1.331 billion performance- and market-condition awards whose conditions had not been met. Those conditional awards are excluded from this denominator. The purpose of the bridge is to make the treatment of foreseeable equity claims explicit rather than to substitute for GAAP diluted EPS.

The reverse DCF converts the market price into an operating hurdle

June 30 cash and marketable securities totaled $100B, against $39.5B of debt and finance leases, leaving about $60.5B of modeled net cash. Subtracting that net cash from the economic equity value produces a required enterprise value of approximately $2.24T.

The 2026 revenue consensus used as the base is $44.68B. With the assumptions below, the reverse DCF solves to 37.19% annual revenue growth through 2035 and $769.1B of horizon revenue. The interactive calculator uses the same canonical engine as the retained research snapshot.

This is an assumption-driven reverse DCF, not a forecast or price target. Revenue grows at one solved annual rate, FCF margin moves linearly from the starting assumption to the horizon assumption, and the terminal value applies the entered perpetual growth rate to horizon FCF. Net cash is added to enterprise value to reconcile to equity value; a negative net-cash input represents net debt.

Current consensus calls for $113.5B of 2027 revenue. Even if that estimate is achieved, revenue would still have to compound at roughly 27.0% annually for another eight years to reach the 2035 reverse-DCF revenue requirement.

Selected operating and capital-structure events

Several 2026 developments can affect future operating scale or the valuation denominator. They are shown separately from the DCF rather than being assigned unobservable option values inside the base model.

Recent events relevant to operating capacity and dilution

Observed or disclosed events are kept separate from the reverse-DCF assumptions so their effects can be evaluated independently.

The reverse DCF does not estimate the probability of reaching the required revenue path, forecast a future stock price, or determine a buy/sell threshold. It quantifies the operating path consistent with a fixed reference price under a specified share count, balance sheet, margin path, discount rate, and terminal-growth assumption. The interactive calculator above is the appropriate surface for testing alternative assumptions.

Methodology and boundaries

Share count

The economic share denominator is an author valuation assumption, not a GAAP diluted-share count. It starts with issued common shares after the Cursor merger consideration, then adds the June 30 share-based compensation amount excluded from diluted EPS, Cursor unvested awards assumed at closing, and the expected EchoStar equity issuance. It excludes the separate 1.331 billion performance- and market-condition awards that had not met their conditions at June 30.

Net cash

Net cash equals June 30, 2026 cash and cash equivalents plus marketable securities less total debt and finance leases.

Reverse DCF

The retained output must reconcile to the canonical Grizzly Bulls revenue + margin reverse DCF engine. Revenue grows at one solved CAGR from the 2026 consensus base; FCF margin ramps linearly from 0% to 30% over nine years; terminal value uses 4% perpetual growth and a 9.5% discount rate.

Street estimates

The 2026 and 2027 revenue figures are current secondary-market consensus aggregates, not SpaceX guidance and not the most bullish analyst estimates.

Illustrative scenarios

The two segment cases are research assumptions used to compare operating scale with the reverse-DCF hurdle. They are not management guidance or consensus forecasts.

Interpretation boundary

The reverse DCF is a required-growth calculation. It does not assign probabilities, issue an investment rating, or predict the path of the share price.
