Key findings

No single SEC filing type meant the same thing across the 13 reviewed ownership relationships

The reviewed 13-relationship dataset needed six distinct source patterns. Form 4 was the most common source family, but four Form-4-only relationships remained explicitly partial. Initial ownership, transaction reporting, class-level beneficial ownership, issuer proxy context and later filing-history continuity answer different questions.

Supported conclusions
  • The reviewed cohort used 6 distinct source patterns across 13 person-company relationships.
  • Form 3 supported three initial beneficial-ownership observations at their insider event dates.
  • Form 4 was the most common source family, but four Form-4-only relationships remained partial incremental observations.
  • Schedule 13 evidence carried class-level beneficial-ownership semantics that must stay attached to security class, voting/dispositive power, group and disclaimer context.
  • Issuer proxy tables supplied additional beneficial-ownership and voting-power context for the Meta and Alphabet rows.
Unsupported inferences
  • The selected 13 relationships are not representative of all billionaires, issuers or SEC filings.
  • A source family is not inherently β€œstronger” than another; support depends on the claim, security, ownership form, dates, footnotes and denominator.
  • An observed Form 4 does not prove a complete transaction history or current whole-position reconstruction.
  • A Schedule 13 class percentage is not automatically a companywide economic-ownership percentage.
  • Filing-history metadata can support a continuity review without re-observing an exact share count.
  • This study does not calculate market value, net worth or transaction-level ownership change.

Methodology

  1. Use the same 13 person-company relationships as the Billionaire Public-Equity Positions Dataset.
  2. Keep each profile/company pair, position date and evidence scope unchanged from that reviewed dataset.
  3. Classify the SEC source families used for each row: Form 3, Form 4, Schedule 13D/G, issuer proxy beneficial-ownership tables and SEC filing-history metadata.
  4. Count a relationship once per source family used. Family counts therefore overlap; they do not partition the 13-row sample.
  5. Use current SEC materials to describe the reporting purpose and boundaries of each source family, without letting general form descriptions override the actual reviewed filing.
  6. Do not infer an absent filing family, reconstruct an unreviewed transaction history, or score evidence quality.

Limitations

  • The 13 relationships are the exact reviewed publication cohort, not a statistically representative sample of billionaires, issuers, or SEC ownership filings.
  • Source-family counts overlap. A relationship using Form 4 plus a proxy statement is counted in both source families but remains one relationship.
  • A source family's official reporting purpose does not automatically authorize every possible ownership claim from every filing. The actual filing text, security identity, ownership form, footnotes, dates, and issuer-specific denominator rules still control.
  • The study classifies the reviewed evidence; it does not perform a new EDGAR completeness search and does not infer that an unlisted source family was absent from the issuer's full filing history.
  • No transaction-level ownership-change series is reconstructed. Historical legal-security identity, split/conversion handling, ownership-form continuity, and transaction semantics remain separate publication gates.
  • Form 5 is relevant to Section 16 reporting but did not appear in the reviewed source set, so it is discussed as context rather than counted as an observed source family.
  • The SEC's February 2013 investor bulletin is educational material rather than a legal interpretation or statement of SEC policy; current filing-specific conclusions continue to rely on the reviewed filings and current SEC rules/guidance.

Citation and reuse

When citing a source-family count, say that counts overlap and refer to the reviewed 13-relationship sample. Do not relabel the chart as a ranking of SEC filing quality.
